EULA and Standard Licensing Terms
These standard licensing terms govern the provision of Jubilant terminal emulation software by Flynet Limited to the Licensee. They apply alongside your Quote and the Support and Maintenance SLA, and together those three documents form the Agreement.What the Terms Cover
1. Definitions — Agreement, Authorised Users, Licence Level, Licensed Materials, Software and Quote.
2. Basis of the Agreement — how the Purchase Order and Quote form the contract.
3. Licence Grant — a personal, non-transferrable, non-exclusive licence at the purchased Licence Level.
4. Copying of the Licensed Materials — permitted back-up, archival, training and testing copies.
5. Licence Restrictions — reverse engineering, redistribution and service-bureau use.
6. Payment — Subscription Licence Fee and Professional Services Fee.
7. Audit — verification of licence use.
8–9. Warranty and Remedies — the warranty given and the remedies available.
10. Limitation of Liability — the agreed limits and exclusions.
11. Duration and Termination — term, renewal and exit.
12. Intellectual Property — ownership of the Software, Documentation and Materials.
13–14. Confidentiality and General Terms — Confidential Information and Data Protection Legislation.
